1. Acceptance of These Terms

Welcome to Palette Inspo. These Terms of Service (the "Terms") form a legally binding contract between you and Palette Inspo ("Palette Inspo," "we," "us," or "our") governing your access to and use of our website, products, and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility and Accounts

You must be at least 16 years old to use the Services. If you are between 16 and 18 (or the age of majority in your jurisdiction), you may only use the Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms. You agree to provide accurate, current, and complete information when you create an account or submit a request through the Services.

3. Description of Services

Palette Inspo provides design inspiration tools, including curated examples of color palettes and typography sourced from publicly available websites, analytics about design systems, and optional submission workflows for requesting additional analyses. We may update, enhance, or discontinue any part of the Services at any time with reasonable notice where practicable.

Certain features may be labeled as beta or experimental. Those features are provided as-is, may contain bugs, and may be withdrawn without notice. We reserve the right to charge fees for premium functionality in the future; any paid services will be subject to additional terms presented at the time of purchase.

4. Acceptable Use

You agree not to use the Services for any unlawful, abusive, harassing, defamatory, fraudulent, infringing, or otherwise harmful purpose. Without limiting the foregoing, you agree not to:

• Copy, scrape, or harvest data from the Services except as expressly permitted by these Terms;
• Reverse engineer, decompile, disassemble, or otherwise attempt to obtain the source code of any software used to provide the Services;
• Upload or transmit viruses, malicious code, or engage in activities that disrupt or interfere with the functionality of the Services;
• Misrepresent your affiliation with any person or entity, or impersonate another person; or
• Use automated systems or bots to access the Services in a manner that sends more request messages than a human can reasonably produce.

5. User Submissions

If you submit ideas, requests, feedback, or other materials to Palette Inspo (collectively, "Submissions"), you grant us a worldwide, royalty-free, sublicensable, transferable, and irrevocable license to use, reproduce, modify, publish, translate, distribute, and display those Submissions in connection with operating and improving the Services. You represent and warrant that your Submissions do not infringe the rights of any third party and that you have the authority to grant the foregoing license.

We are not obligated to monitor or review Submissions, but we may remove or refuse to display any content that violates these Terms.

6. Intellectual Property

The Services, including all software, content, documentation, visual interfaces, graphics, design, compilation, information, data, products, logos, and trademarks, are owned by Palette Inspo or our licensors and are protected by intellectual property laws in the United States, the European Union, and other jurisdictions. Except for the limited rights expressly granted by these Terms, you are not granted any licenses or rights expressly or by implication.

7. Data Protection and Privacy

Palette Inspo does not guarantee the accuracy, completeness, or reliability of any design analysis or insights provided through the Services. Any reliance on the information provided is at your own risk. These disclaimers apply to the fullest extent permitted by applicable law. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Palette Inspo and its affiliates, officers, directors, employees, agents, and partners will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses arising out of or related to your use of or inability to use the Services.

To the extent Palette Inspo is found liable for any claim arising out of these Terms, our total cumulative liability will not exceed the greater of (a) one hundred US dollars (USD $100) or (b) the total amount you paid to Palette Inspo, if any, for the Services in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits or excludes liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

10. Indemnification

You agree to defend, indemnify, and hold harmless Palette Inspo and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Services at any time if we reasonably believe that you have violated these Terms or applicable law, or to protect the integrity of the Services. Where required by law, we will provide you with notice of termination. You may terminate these Terms at any time by discontinuing use of the Services and, if applicable, deleting your account.

Sections of these Terms that by their nature should survive termination will remain in effect, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and governing law.

12. Governing Law and Dispute Resolution

Except where prohibited by local law, these Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. If you reside in the European Economic Area, the United Kingdom, or Switzerland, you may additionally benefit from mandatory provisions of your local consumer protection laws and may bring legal proceedings in the courts of your habitual residence.

Before initiating any formal legal action, you agree to contact us at team@paletteinspo.com to attempt to resolve the dispute informally. If we are unable to resolve the dispute within thirty (30) days, either party may pursue remedies available under applicable law.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we make changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide additional notice (such as by sending an email or displaying a prominent notice on our website).
